A. Notification Requirements

Pause or change notifications must be sent via email at least 48 hours in advance.

B. Conversion Tracking

Conversions, leads, and installs are based on Advertiser's statistics. In case of discrepancy, both parties shall resolve the matter amicably using date, time, IPs, and conversion ID.

C. Valid & Invalid Conversions

Wedebeek will charge advertisers based on valid conversions only. Invalid conversions will be disapproved.

D. Rejection Process

For rejected conversions, Advertiser must provide:

• Reason(s) for rejection

• Detailed sub_id report within 5 days of billing period end

• Specific report details: IPs, Date, Customer information, sub_id, Reason

E. Late Payment Penalty

Advertisers are responsible for timely payment. Late payments will incur a penalty of 1% of total bill amount per day. Non-compliance with this agreement may result in legal action under applicable Vietnamese and international law.

A. Agreement Modifications

Advertisers may propose modifications to better suit both parties' interests. Once signed, non-compliance will result in penalties according to Vietnamese cybersecurity law and international legal standards.

B. Dispute Resolution

In case of disputes, Advertisers must provide all data related to leads submitted by affiliates. All allegations must be supported by specific and accurate reports. Verbal accusations or messages without documentation are considered baseless.

C. Dispute Timeline

All disputes must be raised within 5 business days. If Advertiser cannot provide supporting evidence within 5 days from the confirmation date, all figures must be unconditionally accepted and payment made as committed.

D. Confirmation & Payment Schedule

Neither party may assign rights or obligations without written consent, except in cases of merger, consolidation, or sale of substantially all assets involving transfer of more than 50% voting securities.

Except as expressly provided, Media Partner makes no warranty whatsoever regarding products, services, or information provided. All information represents self-reported consumer data provided on an "as-is" basis. Media Partner disclaims any implied warranties of merchantability, fitness for a particular purpose, quality, accuracy, or performance.

Media Partner shall not be liable for any special, indirect, incidental, consequential, punitive, or exemplary damages, including loss of profits, income, or goodwill. Total liability shall not exceed fees paid by Client to Media Partner under this Agreement.

A. Client agrees to indemnify and hold harmless Media Partner from all third-party claims arising from Client's use of Sales, products/services provided to customers, communications with individuals, or breach of this Agreement.

B. Media Partner agrees to indemnify and hold harmless Client from all third-party claims arising from Media Partner's products/services or breach of this Agreement.

Both parties represent and warrant that they have full corporate power and authority to enter into this Agreement and that this Agreement constitutes a legal, valid, and binding obligation.

If an agency signs this Agreement on behalf of a Client, both Client and agency will be jointly and severally liable for all obligations. Agency represents full authority to act on Client's behalf.

Neither party shall be liable for delays or non-performance caused by acts of God, war, strike, fire, natural disaster, accident, lack of availability of materials, fuel, or utilities, or any other cause beyond reasonable control.

For a period of five (5) years from the Effective Date, each party shall keep strictly confidential all Confidential Information disclosed by the other party, except as required by law. If disclosure is legally required, written notice must be provided promptly.

This Agreement is governed by the laws of Vietnam, with exclusive jurisdiction in Da Nang courts. Amendments require written agreement by authorized representatives. This Agreement constitutes the complete expression between parties and supersedes all prior agreements. Invalid provisions shall not affect the validity of remaining provisions.

All notices must be in writing and will be deemed delivered: (a) 3 days after certified mail; (b) upon receipt by overnight courier; (c) 1 business day after confirmed telecommunication.

The following traffic sources are strictly prohibited:

• Iframe traffic

• Auto-subscription traffic

By signing, both parties acknowledge and agree to the provisions of this Agreement, including the terms of this IO and any attached Addenda. In case of conflict between these Terms and Conditions and any other document, these Terms and Conditions shall govern.
